Syndicated/Club Financing

  • We acted for 2 Malaysian banks and the Malaysian incorporated entity of a Chinese development bank in respect of the club deal banking facilities of US$430 million granted to a refining company to refinance its existing bank facilities.
  • We acted for Malayan Banking Berhad, RHB Bank (L) Ltd and United Overseas Bank Limited, Labuan Branch in respect of the project financing of US$132,260,000 granted to Ophir Production Sdn Bhd.
  • We acted for AmBank (M) Berhad, China Construction Bank Corporation, Labuan Branch and Malayan Banking Berhad (as the lenders) in respect of the club deal multi-currency revolving credit facilities of up to US$235,000,000.00 and RM250,000,000.00 granted to Hengyuan Refining Company Berhad.
  • We acted for CIMB Bank Berhad and CIMB Bank Berhad, Singapore Branch in respect of the club deal banking facilities of RM85,000,000 and S$20,000,000 granted to 2 Singapore-based clients respectively to finance, amongst others, the construction costs of a factory, to purchase equipment and machinery and for general working requirements.
  • We acted for OCBC Bank (Malaysia) Berhad, AmBank (M) Berhad and CIMB Bank Berhad in respect of the club deal banking facilities granted to Berjaya Land Berhad to redeem the secured exchangeable bonds in the outstanding value of RM711 million.
  • We acted for OCBC Bank (Malaysia) Berhad, AmBank (M) Berhad and CIMB Bank Berhad in respect of the club deal banking facilities granted to Berjaya Land Berhad to redeem the secured exchangeable bonds in the outstanding value of RM711 million.
  • We acted for CIMB Investment Bank Berhad in respect of the syndicated term loan facilities of RM750 million granted to Global Capital and Development Sdn Bhd (a joint venture, amongst others, between a Government-linked entity and Mubadala Development Company) in relation to the development and acquisition of land in the Iskandar Development Region.
  • We acted for CIMB Bank Berhad, Labuan Branch and Oversea-Chinese Banking Corporation Limited, Labuan Branch in respect of the club deal term loan facility of A$31,250,000 granted to Yarra Park City Pty Ltd and PJ Development Holdings Berhad to finance the purchase of property in Australia.
  • We acted for CIMB Bank Berhad, Alliance Bank Malaysia Berhad and AmBank (M) Berhad in respect of the club deal term loan facilities totalling RM201,060,000 granted to Berjaya Land Development Berhad to part finance the purchase of a land and development cost.
  • We acted for CIMB Bank Berhad and CIMB Bank Berhad, Singapore Branch in respect of the club deal facilities of RM35,000,000 and US$25,000,000 granted to 2 Singapore-based clients respectively.
  • We acted for HSBC Bank Malaysia Berhad in respect of the syndicated term loan and revolving credit facilities of RM600 million granted to Sunway City Berhad to repay outstanding Murabahah commercial papers and medium term notes and for working capital requirements.
  • We acted for a major telecommunication company in respect of the banking facilities of RM2.6 billion granted by CIMB Bank Berhad, Sumitomo Mitsui Banking Corporation Malaysia Berhad, Bank of Tokyo-Mitsubishi UFJ (Malaysia) Berhad, OCBC Bank (Malaysia) Berhad, RHB Bank Berhad and Standard Chartered Bank to finance capital expenditure, to finance working capital requirement, to refinance existing bank borrowings and to finance general corporate funding requirement.
  • We acted for RHB Bank (L) Ltd, Hong Leong Bank Berhad and RHB Investment Bank Berhad in respect of the syndicated term loan facility of USD100 million granted to a major plantation company based in Indonesia for the purposes of redeeming and satisfying the existing facilities and repaying shareholder advances for the plantation development cost incurred and paid by the borrower in relation to the development of an oil palm plantation on a property.

International Financing

  • We acted as Malaysian counsel for international lenders to finance a design, construction, operation and maintenance of a gas chemical complex in the Republic of Uzbekistan which was supported by the Export-Import Bank of Korea (KEXIM), the Korea Trade Insurance Corporation (K-Sure) and the Asian Development Bank (ADB) and various commercial banks.
  • We acted as Malaysian counsel to DBS Bank Ltd., Deutsche Bank AG, Singapore Branch, ING Bank N.V., Singapore Branch, OCBC Bank (Malaysia) Berhad and Standard Chartered Bank in respect of the US$450 million loan facility comprising US$280 million bridge loan facility and US$170 million term loan facility granted to Edotco Investments (Labuan) Limited to acquire shares in companies in Singapore, Bangladesh and Cayman Islands as well as repayment of its existing facilities and general working capital requirements.
  • We acted as Malaysian counsel to a statutory body in respect of £36,560,000.00 Murabaha Facility granted to the borrower, for part financing of property in the United Kingdom.
  • We acted as Malaysian counsel to The Royal Bank of Scotland plc and DBS Bank Limited in respect of a US$50 million term loan facility granted to Mamlaka Langkawi Sdn Bhd in connection with the construction of the Four Seasons Resort Langkawi.
  • We acted as Malaysian counsel to Australia and New Zealand Banking Group Limited in respect of S$102 million senior secured syndicated term loan facility granted to Peak Retail Investment Pte Ltd to fund the acquisition of RSH Limited (a listed company on the Singapore Stock Exchange).
  • We acted as Singaporean lead counsel for RISA Partners Inc (as lender) with local counsels from multiple jurisdictions (including Thailand, Hong Kong, Philippines, Taiwan, Cayman Islands and Seychelles) in relation to a term loan facility (“Facility“) to a Singapore SPC which the proceeds of the Facility were utilised for the acquisition consideration and related costs of the purchase of shares in a Singapore target company.

Bilateral Financing

  • We acted for Maybank International Labuan Branch in respect of the term loan facility of US$72 million granted to Arabian Drilling Services LLC (“ADS”) to refinance the existing borrowing or financing, repayment of the shareholder advances to part-finance the working capital requirement of ADS for its business operations in the Sultanate of Oman or reimbursement to ADS for advances made by ADS in relation to such working capital requirements.
  • We acted for Maybank International (L) Limited in respect of the short-term revolving credit facility of up to US$50 million granted to Berjaya Times Square (Cayman)Ltd for the purposes of working capital and investment.
  • We acted for Malayan Banking Berhad in respect of the banking facilities of RM150 million granted to Berjaya Infrastructure Sdn Bhd for the purposes of general investment.
  • We acted for China Construction Bank (Malaysia) Berhad in respect of credit facilities of RM100 million granted to a Malaysian subsidiary of state-owned Chinese company.
  • We acted for Oversea-Chinese Banking Corporation Limited, Labuan Branch in respect of the term loan facility in SGD equivalent of US$180 million granted to Intergrated Healthcare Turkey Yatirimlari Limited for the purposes of general corporate funding and investment in Acibadem Saglik Yatirimlari Holding A.S.
  • We acted for AmBank (M) Berhad as lender in respect of the short-term loan facility of RM100 million granted to Berjaya Corporation Berhad.
  • We acted for RHB Bank (L) Ltd in respect of the term loan facility of US$40 million granted to Berjaya Leisure (Cayman) Ltd for the purposes of general investment.
  • We acted for The Bank of East Asia, Limited, Labuan Branch in respect of the standby letter of credit facility of RM100 million granted to Country Garden Real Estate Sdn Bhd for the purposes of its and its subsidiaries’ general working capital and corporate funding.
  • We acted for AmBank (M) Berhad as lender in respect of the term loan facility of US$30 million granted to Berjaya Leisure (Cayman) Ltd for the purpose of injecting equity into one of its subsidiary companies.
  • We acted as the Malaysian counsel to UOB Kay Hian Pte Ltd as lender in respect of the term loan facility of USD10 million granted to Berjaya Group Equity (Cayman) Limited for general investment purposes.
  • We acted for AmBank (M) Berhad, Labuan Offshore Branch as lender in respect of the term loan facility of US$38 million granted to MOL Investments Pte Ltd to refinance an existing loan facility.
  • We acted for OCBC Bank (Malaysia) Berhad in respect of a revolving credit facility of up to RM110 million granted to Berjaya Corporation Berhad.
  • We acted for Oversea-Chinese Banking Corporation Limited, Labuan Branch in respect of S$218,947,706.19 term loan facility granted to Integrated Healthcare Turkey Yatirimlari Limited (“IHTYL”) for re-financing of the US$180,000,000.00 term loan facility granted to IHTYL in 2012.
  • We acted for Oversea-Chinese Banking Corporation Limited, Labuan Branch in respect of an RM100 million term loan facility to Dialog Telecom PLC, a Sri Lankan company.
  • We acted for OCBC Bank (Malaysia) Berhad in respect of a term loan facility of up to RM300,000,000.00 granted to Berjaya Corporation Berhad.

Acquisition Financing

  • We acted as the Malaysian counsel and Singapore counsel for UEM Edgenta Berhad and Edgenta (Singapore) Pte Ltd respectively, as borrowers in a secured leverage financing of up to S$189 million pursuant to the commodity murabaha principles for the acquisition of a Singapore-based healthcare and services entity, Asia Integrated Facility Solutions Pte Ltd and its subsidiaries.
  • We acted for Malayan Banking Berhad as lender in respect of the term loan facility of RM1.4 billion granted to Cosway Corporation Berhad to finance the acquisition of up to 90% of ordinary shares and irredeemable convertible unsecured loan stocks (ICULS) in Cosway Corporation Limited, a company listed in The Stock Exchange of Hong Kong pursuant to the terms of a voluntary general offer.
